“Investor Non-Disclosure & Non-Circumvention Agreement”

PARTIES

THIS AGREEMENT is entered into by and between Hudson Hearthstone Properties LLC, a Kansas limited liability company, located at 7131 W 135th St, #1026, Overland Park, Kansas 66223 (“Company”), and the individual or entity accessing the Company’s private investor portal or receiving confidential deal information (“Investor”).

PURPOSE

The Company provides Investor with access to confidential, off-market real estate investment opportunities solely for the purpose of evaluating potential transactions directly through the Company. All opportunities are proprietary and non-public.

CONFIDENTIAL INFORMATION

Confidential Information includes property addresses, seller information, pricing, deal structures, photos, videos, documents, financial projections, and any information shared verbally or electronically. All such information is proprietary.

NON-DISCLOSURE

Investor agrees to keep all Confidential Information strictly confidential and not disclose, reproduce, or distribute any information to third parties or publicly market any property.

NON-CIRCUMVENTION

Investor shall not contact sellers, interfere with transactions, attempt to bypass the Company, or enter into any agreement with sellers introduced by the Company without prior written consent.

NO SOLICITATION OR INTERFERENCE

Investor acknowledges sellers are under contract or relationship with the Company. Any attempt to solicit or interfere constitutes a material breach.

LIQUIDATED DAMAGES

Investor agrees that each breach shall result in liquidated damages of Twenty-Five Thousand Dollars ($25,000) per violation, which represents a reasonable estimate of damages and is not a penalty. This does not limit injunctive or equitable relief.

NO REPRESENTATIONS

All properties are provided AS-IS, WHERE-IS. No guarantees are made regarding value, condition, or profitability.

LICENSE DISCLOSURE & NO AGENCY

Company principal is a licensed Kansas real estate professional acting solely as a principal. No agency or fiduciary relationship is created.

ACCESS REVOCATION

The Company may revoke portal access or deny opportunities at any time without explanation.

LEGAL NOTICES

All legal notices or claims must be sent to legal@hhpkc.com.

GOVERNING LAW

This Agreement is governed by the laws of the State of Kansas. Venue lies exclusively in Kansas courts.

ELECTRONIC ACCEPTANCE

By accessing the portal or clicking ‘I Agree’, Investor consents to electronic records and signatures.

ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties
